Welcome to PadelNation. These Terms and Conditions ("Terms") govern access to and use of www.padelnation.co.za (the "Website") and the information and services made available through it. The Website is operated by Padelnation PTY LTD ("PadelNation", "we", "us" or "our"), incorporated in the Republic of South Africa under registration number 2022/394044/07.
By using the Website, you agree to these Terms. If you do not agree, you should stop using the Website. Nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded under South African law, including the Consumer Protection Act 68 of 2008 where applicable.
About PadelNation
PadelNation operates in the padel industry and may provide court design, manufacture, supply and installation; club development and operational services; maintenance and repairs; corporate events and padel experiences; club ownership or management; financial feasibility support; and software-related services through PadelClubIQ.
Information on the Website is general. Specific products or services may be governed by separate quotations, proposals, project agreements, venue rules, booking terms, warranties or other written agreements. If those specific terms conflict with these Terms, the specific agreement governs that transaction.
Use of the Website
Depending on how you interact with us, we may collect identification and contact information; enquiry and correspondence details; booking or event information; company and billing information; transaction references; technical and device information; website usage and cookie information; photographs or video where appropriate; supplier or contractor details; and any other information you choose to provide.
Where reasonably necessary for a specific purpose, we may also process information relating to employees, contractors or authorised representatives of customers and suppliers. We do not intentionally collect special personal information unless it is lawful, necessary and appropriate for the relevant purpose.
Website information and enquiries
We take reasonable steps to keep Website content accurate and current, but products, services, specifications, availability, pricing, project timelines and other information may change. Unless expressly stated otherwise, Website content is not a binding quotation, offer, warranty or guarantee.
An enquiry submitted through the Website does not itself create a contract. A binding agreement arises only when the applicable quotation, order, proposal, booking or contract is accepted in accordance with its terms.
Quotations, projects and installations
Court construction, supply, installation, maintenance, management and related projects are subject to the scope, specifications, pricing, VAT, payment terms, site requirements, delivery, installation, variations, warranties, exclusions and other terms stated in the relevant quotation or written agreement.
Customers are responsible for obtaining property-owner, landlord, body-corporate, municipal, zoning or other approvals applicable to their site unless PadelNation has expressly agreed in writing to obtain a specified approval. Civil works, drainage, electrical works, foundations, access and site preparation are governed by the applicable project documentation.
Clubs, bookings and Playtomic
PadelNation owns, operates and/or manages padel facilities. Court bookings are primarily facilitated through third-party booking platforms such as Playtomic. A booking made through a third-party platform is also subject to that platform’s terms, privacy practices and payment processes.
Individual venues may have their own booking, cancellation, refund or credit policies, operating hours, memberships, event rules, equipment terms and facility rules. Users must comply with the rules of the venue they attend.
Bookings may be cancelled, moved or rescheduled where reasonably necessary because of weather, safety, maintenance, operational requirements or circumstances beyond our reasonable control. Any refund, credit or rescheduling will be dealt with under the applicable booking terms and law.
Participation and facility use
Padel and other sporting activities involve inherent physical risks. Users must follow safety instructions and venue rules, use equipment appropriately and take reasonable care for their own safety and the safety of others.
Any assumption-of-risk, indemnity or limitation notice at a venue must be read together with applicable venue terms and is subject to South African law. Nothing in these Terms excludes liability that may not lawfully be excluded, including liability for gross negligence where the law prohibits such exclusion.
Corporate events and functions
Corporate events, tournaments, activations and functions may be subject to separate quotations and booking terms dealing with deposits, final numbers, catering, cancellations, rescheduling, weather and venue access. An enquiry is not a confirmed event booking.
Maintenance and repairs
Maintenance and repair work may require inspection and is subject to the agreed scope and pricing. We do not guarantee that every damaged or defective component can be repaired and may recommend replacement where reasonably necessary.
PadelClubIQ
PadelClubIQ is PadelNation’s padel club management software offering. Use of the PadelClubIQ platform is governed by separate terms available at www.padelclubiq.com/terms. Those terms govern use of that software and do not replace these Website Terms.
Intellectual property
Unless otherwise stated, all intellectual property on the Website is owned by, licensed to or lawfully used by PadelNation, including names, logos, website design, photographs, videos, graphics, written content, court designs, drawings, specifications, software and marketing material.
You may view Website content for personal use and legitimate business enquiries. You may not reproduce, distribute, modify, publish, sell or commercially exploit it without prior written permission except as permitted by law.
Third-party services and links
The Website may link to third-party booking systems, payment providers, social networks, suppliers, partners or other services. These are operated independently. PadelNation is not responsible for their availability, security, content, privacy practices or terms.
Privacy and communications
We process personal information in accordance with applicable South African law, including POPIA, and our Privacy Policy. By submitting an enquiry or other information, you acknowledge that we may process it for the purposes described in that policy.
We may communicate with you by email, telephone, SMS, WhatsApp or another reasonable method in connection with your enquiry or relationship with us. Direct marketing is handled in accordance with applicable law and your communication preferences.
Website availability and security
We aim to keep the Website secure and available but do not guarantee uninterrupted or error-free operation. The Website may be unavailable because of maintenance, upgrades, technical failures or circumstances beyond our reasonable control. Users should maintain appropriate security measures on their own devices.
Limitation of liability
To the maximum extent permitted by law, PadelNation is not liable for indirect, incidental, special or consequential loss arising solely from use of, or inability to use, the Website, or from reliance on general Website information where specific professional, engineering, financial or project advice should reasonably have been obtained.
Liability relating to a product, project, installation, venue, booking or other service is governed by the applicable written agreement, warranty, booking terms and South African law. Nothing in these Terms excludes or limits liability where that exclusion or limitation is prohibited by law.
Financial and business information
Any feasibility information, estimates or modelling relating to club development or operation is for planning purposes unless expressly agreed otherwise in writing. It is not a guarantee of revenue, profitability, occupancy, investment return or future performance. Users should obtain appropriate legal, tax, financial and other professional advice before material investment decisions.
Information supplied by you
If you provide plans, drawings, photographs, specifications or other material, you confirm that you are entitled to provide it and permit PadelNation to use it to the extent reasonably necessary to respond to your enquiry, prepare quotations, assess a project or provide requested services. You remain responsible for the accuracy and completeness of information you provide.
Force majeure
Subject to applicable law, PadelNation is not responsible for delay or failure caused by circumstances beyond its reasonable control, which may include severe weather, natural disaster, fire, flooding, industrial action, civil unrest, governmental restriction, supply-chain disruption, transport disruption or utility failure. If a specific contract contains force-majeure terms, those terms govern that contract.
Changes to these Terms
We may update these Terms to reflect changes to our Website, services, business operations or legal requirements. Updated Terms will be published on the Website with their effective date. Changes do not retrospectively alter a separate written agreement unless that agreement and the law permit it.
Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from use of the Website is subject to the jurisdiction of South African courts, subject to any rights a consumer may have under applicable consumer-protection legislation.
Severability and entire Website terms
If any provision is unlawful, invalid or unenforceable, it will be severed to the extent necessary and the remaining provisions will continue to apply. These Terms, together with the Privacy Policy and any policies expressly incorporated into them, govern use of the Website and do not replace separate written agreements.
